IES Support the Decision On Distributing Dividends Among Shareholders of Permenergo for 9 Months of 2004
At the extraordinary general meeting of Permenergo’s shareholders held on December 28, 2004, Integrated Energy Systems supported a decision on distributing interim dividends for nine months of 2004, amounting to RUR 18.09 per share. The meeting was held in absentia, and the decision on dividend distribution was made by shareholders of the power company unanimously.

IES representatives elected to the boards of directors of companies formed as a result of reorganization of OAO Sverdlovenergo
At an extraordinary meeting held on December 14, 2004, the shareholders of the six companies formed as a result of the reorganization of Sverdlovenergo Joint-Stock Company elected boards of directors and auditing committees, approved the articles of association of all the companies and elected general directors. The boards of directors and auditing committees of all six companies include representatives of Integrated Energy Systems.

Administration of Nizhni Novgorod Region and IES Enter into Agreement on Cooperation in the Field of Public Utility Services
On Wednesday, December 1, 2004, Gennady Khodyrev, Governor of the Nizhni Novgorod Region, and Sergey Chikurov, Director General of IES – Multiutilities (operating under Integrated Energy Systems), signed an agreement on cooperation in the field of electric power industry and public utility services.

At Extraordinary Meetings held on Wednesday, November 17, 2004, shareholders of the seven companies to be established as a result of the Permenergo reorganization elected the Boards of Directors, which each included two representatives of Integrated Energy Systems.

Intergrated Energy Systems plans to establish subsidiary structure in the Nizhni Novgorod Region for the housing and communal services sector
IES – Multiutilities (a member of the Integrated Energy Systems Holding that implements projects in the sphere of housing and communal services) and the Nizhni Novgorod Region Administration have declared the intention to sign a Cooperation Agreement in the nearest future. This understanding was reached at a working meeting held on Friday, November 12, 2004.

At extraordinary meetings held on Friday, November 5, the shareholders of the four companies formed as a result of the reorganization of Rostovenergo Open Joint Stock Company (namely, Open Joint Stock Companies Rostov Generation Company, Rostovenergo Management Company, EnergosbytRostovenergo, Rostovenergo Bulk Network Company) elected members to their Boards of Directors; each of which comprised two IES representatives.
